Infineon Virtual Annual General Meeting approves dividend of €0.32 per share

Infineon Technologies has finished its 23rd Annual General Meeting. The entire event was held in a virtual format and broadcast publicly on the company web site. Shareholders had the opportunity to speak live during the event and ask questions.

Dividend of €0.32 per share

The Annual General Meeting followed the proposal of the Management Board and Supervisory Board on the distribution of profits and approved a dividend payment of €0.32 per share. The payout thus again exceeds the dividend amount of the previous year by 5 euro cents, or almost 19 percent.

Dr. Wolfgang Eder and Hans-Ulrich Holdenried resigned from the Supervisory Board effective as of the end of the Annual General Meeting. Dr. Herbert Diess and Klaus Helmrich were newly elected to the Supervisory Board. At its meeting immediately following the Annual General Meeting, the Supervisory Board unanimously elected Dr. Herbert Diess, who had already been a member of Infineon’s Supervisory Board from 2015 to 2020, as its new chairman. “I am delighted by the trust that the Infineon Supervisory Board has placed in me with this office. On behalf of the entire Supervisory Board, as well as the Management Board, I would like to thank Dr. Wolfgang Eder, who has been a member of the Supervisory Board since 2019, for the four successful years in which he led the Supervisory Board. In view of the major trends decarbonization and digitalization, Infineon is excellently positioned today and I look forward to the task ahead,” said Dr. Diess.

Authorization of virtual shareholders’ meetings

The Annual General Meeting also approved an authorization to hold Annual General Meetings in virtual format. The Executive Board has committed to use this authorization for a period of two years only. Shareholders will then be asked to decide again on the format of future General Meetings.

Approval of changes to the Executive Board remuneration system and the remuneration report

Furthermore, the shareholders approved the remuneration report and changes to the Executive Board remuneration system which will align remuneration even more closely to the success of the company and will allow a greater weighting of sustainability-related targets.

Infineon kicks off new Fab in Dresden

During the Annual General Meeting, Infineon informed its shareholders about the start of construction of its new plant for analog/mixed-signal technologies and power semiconductors. After extensive analysis, the Infineon Management Board and supervisory bodies gave the green light for the Dresden site. The German Federal Ministry for Economic Affairs and Climate Action (BMWK) has approved an early project launch, meaning that construction can already begin before completion of the inspection of legal subsidy aspects by the European Commission.

Infineon expands exhaust-air purification systems

At the Annual General Meeting, Infineon also announced the expansion of the exhaust-air purification system at the Kulim site. Avoiding CO 2 emissions is a clear priority for Infineon in implementing its climate strategy. Modern exhaust-air purification systems offer the greatest leverage in this regard. The upgrade in Kulim is expected to result in an approximately eight percent reduction of global direct site-related emissions (Scope 1) by the end of the 2023 fiscal year compared to the previous year. A planned new exhaust-air purification system in Austin, USA, will lead to further savings.
